The Charter of MAICC

CHAPTER I
GENERAL PRINCIPLES
  


ARTICLE 1 The Name
Chinese name: “澳門東盟國際商會”
Portuguese name: "Associação Comercial Internacional de ASEAN de Macau"(ACIAM)
English name: “Macao ASEAN International Chamber of Commerce" (MAICC)
ARTICLE 2 Nature and Purpose
MAICC is a non-governmental and non-profit organization in the Macao Special Administration Region of the People’s Republic of China. The objective of MAICC is as follows: "Love ASEAN, Love China, Love Macao", and to actively participate in community activities within Macao and among ASEAN countries; to promote exchanges and cooperation in the fields of commerce, industry, education, culture and sports between ASEAN, China, and Macao in order to contribute to economic prosperity and social progress.
ARTICLE 3 Address
The present address of MAICC is No. 660E, Av. de Dr Rodrigo Rodrigues, S/N, Edf. First International C. Centre, Andar 6, Room 605, Macau, which upon approval by the Executive Committee, can be moved to any place in Macao SAR.


CHAPTER II
QUALIFICATIONS, RIGHTS AND OBLIGATIONS OF MEMBERSHIP  



ARTICLE 4 Qualifications
Any entrepreneur and/or person in Macao, China as well as from ASEAN countries who accepts MAICC's purpose and abides by the Charter can become an MAICC member after the application is approved by the Executive Committee and the required membership fee is submitted.
ARTICLE 5 Rights
MAICC members enjoy the following rights:
(1) To take part in meetings of the General Assembly
(2) To have the right to vote and the right to stand for election;
(3) To participate in MAICC activities and enjoy all benefits and rights;
(4) To supervise MAICC work and give criticism and suggestions;
A member has the freedom to withdraw by submitting a written application to the Executive Committee.
ARTICLE 6 Obligations
MAICC members undertake the following obligations:
(1) To abide by the MAICC Charter and implement resolutions of the General Assembly and the Executive Committee;
(2) To actively participate in MAICC activities, and provide all kinds of support and assistance;
(3) To promote development of ASEAN countries and cooperation among Members;
(4) To submit the membership fee on time;
(5) Not to conduct any action to damage MAICC's reputation.


CHAPTER III
ORGANIZATION AND AUTHORITY

SUBCHAPTER I
GENERAL ASSEMBLY


ARTICLE 7 Nature and Organization
The General Assembly is the supreme decision-making organ and is comprised of a Chairperson and several Deputy Chairpersons, with a tenure of office of three years.
ARTICLE 8 Powers
The General Assembly exercises the following powers:
(1) To amend or revise the MAICC charter and internal regulations;
(2) To enact basic policies for MAICC;
(3) To assess the annual work report and bills presented by of the Executive Committee and Supervisory Committee.
ARTICLE 9 Conventions and Special Meetings
The General Assembly shall be convened every year and presided over by the Chairpersons or Deputy Chairpersons.
Special meetings may be held upon the request by the MAICC or more than half of the members with a justifiable and legitimate cause.
Resolutions of the General Assembly shall be passed by more than half of the members present.

SUBCHAPTER II
BOARD OF DIRECTORS


ARTICLE 10 Nature and Organization
The Executive Committee is the executing organ of the General Assembly with a session of three years.
The Executive Committee shall consist of a President, Vice Executive President, and several Vice Presidents, one Secretary-General, Vice Secretary-Generals, one Treasurer, and several Trustee Members. Members of the Executive Committee shall be elected by and from the General Assembly.
There shall be a standing committee for the Executive Committee, which shall exercise the powers of the Executive Committee when it is not in session. The number of the members of the permanent committee shall not exceed one-third of that of the Executive Committee.
The Executive Committee may establish several departments to deal with daily work in accordance with regulations, and staff members of departments shall be recommended by one of the members of the Executive Committee and appointed by the Executive Committee.
ARTICLE 11 Powers
The Executive Committee exercises the following powers:
(1)To implement resolutions passed by the General Assembly;
(2)To decide and conduct MAICC activities;
(3)To receive donations and financial support.
ARTICLE 12 Meetings and Special Meetings
Meetings of the Executive Committee shall be held once every six months, and presided over by the President. The President may summon a special meeting when it is necessary.
Decisions of the Executive Committee shall be made by a majority of more than half of the members.
The Executive Committee is accountable to the General Assembly and subject to the check and verification of the Supervisory Committee.

SUBCHAPTER III
SUPERVISORY BOARD


ARTICLE 13 Nature and Organization
The Supervisory Committee is elected by the General Assembly and functions as an organ of supervision for a session of three years. The Supervisory Board shall be comprised of a Chief Supervisor and several Vice Chief Supervisor and members.
ARTICLE 14 Powers
The Supervisory Committee exercises the following powers:
(1) To supervise the execution of the resolutions passed by the General Assembly;
(2) To check and supervise the administration of MAICC property;
(3) To supervise the progress of all the MAICC activities;
(4) To audit financial revenue and expenditure and check all accounts and documents of the Executive Committee;
(5) To prepare an annual supervisory report and submit it to the General Assembly for examination and approval.


CHAPTER IV
BUDGET


ARTICLE 15 Funds and Management
The MAICC funds come from the following sources:
(1) Membership fees;
(2) Donations by public or private entities;
(3) Other sources from operational activities.
MAICC manages the budget by establishing special funds through a system of funding management.
 

CHAPTER V
AMENDMENT AND INTERPRETATION


ARTICLE 16 Amendment
The MAICC Charter comes into force after the approval of the General Assembly. Any amendment to this Charter shall be approved by 75% of the General Assembly Members.
ARTICLE 17 Interpretation
The power of interpreting the Charter belongs to the General Assembly. The bill for interpretation shall be prepared by the Executive Committee and adopted by the General Assembly.
 

CHAPTER VI
SUPPLEMENTARY PROVISIONS


ARTICLE 18
The laws of Macao Special Administrative Region shall apply to all other issues that are not provided in this charter.
